Contract Specialist

Job Responsibilities

    Prepare, examine, analyze, recommend, revise, oversee, and administer with a strong legal inclination, large international EPC Contracts

    · Provide advice to Contract Manager and Project Management Team concerning contractual issues affecting the outcome in terms of legal, and commercial aspects

    · Provide advice and seek counsel from subject matter expert on contractual, commercial, taxation, insurance and legal issues

    · Coordinate, support and control the entire process of contract administration role and ensure the Contract is in the best interest of Owner’s position

    · Prepare, drafting, review and revision contract terms and conditions

    · Negotiate terms and conditions within corporate defined expectations, including with internal and external business partners

    · Send and receive legal documents and Contracts

    · Communicate with EPC Contractors, gather project information, and complete contractual correct and timely correspondence

    · Track, monitor and administer the signed Contracts

    · Prepare contract change notices, monitor Contractor performance, including the reporting and status of Contractor and Owner deliverables

    · Prepare, review, respond to any incoming/outgoing formal correspondences to protect contractual position and best interest of the Owner

    · Prepare necessary reports to lenders, PLN, internal organization, and others as required

    · Pursue Board approvals to enter into transaction, according to Adaro's SOP

    · Manage all Agreements and updating in servers, printing hard copies, registering agreements before released to the relevant parties and kept by AGLS

    · Provide letters to Government Institutions as requested

    · Listing all corporate licenses, tracking the expiry date, and upload document to SPIPISE

    · Registering BOD, BOC, SHA resolutions

    · Engage with external translators to translate corporate licenses, i.e. AOA, BKPM license, TDP, SKDP

    · Track and maintain corporate legal documents and licenses

    · Providing Corporate banking information for external parties, liaise with Finance Department

    · Managing Debt Lenders domain (providing documents, uploading, giving access), maintain/update Licenses/corporate legal documents to the Shared Folder required for lenders/ legal counsel

    · Monitor deadlines for lien filings

    · Support preparation or respond to claims and their resolution

    · Track through control logs all authorizations and contractual correspondences

    · Maintain detailed and organized files

    · Maintain an audit file for each contract which will include original contract, all correspondence, changes/deviations, amendments, clarifications

    · Ensure that EPC Contractor is in compliance with legal/Contract requirements, Owner specifications and government regulations

    ·  Perform contract closing activities as needed

    · Analyze and mitigate risks

    · Work with different levels of personnel within an organization to analyze and solidify an overall contract strategy

    · Coordinate actions with internal legal team if needed

    · Resolve any existing contract conflicts

    · Serve as a liaison between internal and external parties during contract development and negotiation stages Stay up-to date with legislative changes and coordinate with the legal department as needed

Job Requirements

    · Minimum Bachelors' Degree of Law

    · Strong Paralegal Administration skills preferred

    · Preferably proven work experience with a minimum of 3 - 4 years of experience in contract administration in Power plant/Oil & Gas Industry with significant legalize exposure

    · Knowledge of legal and commercial requirements involved with contracts

    · Attention to detail and the ability to spot errors and inconsistencies

    · Strong analytical and organizational skills

    · Ability to work with a team at all levels of an organization, varying seniority levels including staff, managers and external partners

    · Work well under time pressure

    · Customer service friendly

    · Strong work ethic

    · Exceptional communication skills in Bahasa and English (verbal and written)

    · Proficient in Microsoft Word, Excel and Outlook

    · Able to spend minimum 100% of time at Kalimantan site with occasional business trip to Jakarta as and when required.
